Terms and Conditions of Sale

1. Interpretation

1.1 In these Terms and Conditions, “Company” shall mean Surrey Audio, “Customer” shall mean the person, firm, or company purchasing goods from the Company, and “Goods” shall mean the products manufactured and supplied by the Company pursuant to the Customer’s order.

1.2 These Terms and Conditions shall govern all contracts for the sale of Goods by the Company to the Customer to the exclusion of any other terms and conditions.

2. Orders

2.1 All Goods are manufactured to order in accordance with the Customer’s specifications.

2.2 It is the sole responsibility of the Customer to ensure that any specifications, measurements, or instructions provided are complete and accurate.

2.3 Once an order has been accepted by the Company, it may not be cancelled or amended by the Customer without the Company’s prior written consent.

3. Price and Payment

3.1 The price payable for the Goods shall be as stated at the time of order.

3.2 Payment shall be made in full at the time of order unless otherwise agreed in writing by the Company.

3.3 The Company shall be under no obligation to commence manufacture of the Goods until payment has been received in full.

4. Cancellations and Returns

4.1 In accordance with Regulation 28(1)(b) of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the Customer shall have no right to cancel the order once accepted, as the Goods are made to the Customer’s specifications.

4.2 Goods supplied under these Terms and Conditions are therefore non-returnable and non-refundable save where found to be defective pursuant to Clause 6.

5. Delivery

5.1 Any delivery dates provided by the Company are estimates only and time shall not be of the essence.

5.2 The Company shall not be liable for any loss, damage, or expense arising from delay in delivery of the Goods howsoever caused.

5.3 Risk in the Goods shall pass to the Customer upon delivery.

6. Warranty and Defects

6.1 The Company warrants that the Goods will be free from material defects in workmanship at the time of delivery.

6.2 Any claim by the Customer in respect of defects must be notified to the Company in writing within 7 days of delivery and must be supported by appropriate evidence.

6.3 The Company’s liability under this warranty shall be limited, at its option, to repair or replacement of the defective Goods.

6.4 This warranty shall not apply where the defect arises from:

(a) misuse, negligence, or improper installation by the Customer;

(b) fair wear and tear;

(c) unauthorised alterations or modifications.

7. Limitation of Liability

7.1 The Company’s liability to the Customer in respect of any claim arising out of or in connection with the sale of the Goods shall be limited to the price paid for the Goods.

7.2 The Company shall not be liable for any consequential, indirect, or special loss or damage, howsoever arising.

8. Intellectual Property

8.1 All intellectual property rights in the designs, drawings, and specifications of the Goods remain vested in the Company.

8.2 The Customer shall not copy, reproduce.

9. Force Majeure

9.1 The Company shall not be liable for any failure or delay in performing its obligations where such failure or delay is caused by circumstances beyond its reasonable control.

10. Governing Law and Jurisdiction

10.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

10.2 The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms and Conditions.
